SponsorSwap™ Terms of Use

Welcome to SponsorSwap™. By accessing our website or subscribing to our newsletter, you agree to the following terms:

Use of Service
SponsorSwap™ provides tools, resources, and content to help newsletter operators discover, arrange, and manage audience swaps.

Intellectual Property
All content, branding, systems, aggregated data insights, swap performance analytics, and platform algorithms are property of FourLab LLC. This includes but is not limited to: swap success patterns and metrics, operator matching algorithms, Trust Score methodologies, network growth insights, and all derivative analytics from platform usage.

Zero-Cost Swaps
SponsorSwap™ facilitates zero-cost swaps between newsletter operators. Swap transactions are currently provided at no charge by SponsorSwap™ (“Zero-Cost Swaps”); we may introduce, modify, or discontinue fees for swaps by updating these Terms and, where required, providing notice. Optional paid features may be offered separately to improve swap discovery and platform experience. SponsorSwap™ facilitates introductions between operators but is not a party to swap agreements and is not responsible for subsequent communications or arrangements between matched operators.

User Obligations & Code of Conduct

By participating in SponsorSwap™, you agree to:

a) Provide Accurate Information - Submit truthful metrics including subscriber counts, open rates, and engagement data. Misrepresentation may result in immediate removal.

b) Honor Swap Commitments

• Execute matched swaps within your stated availability and duration preferences. Failing to complete matched swaps damages the entire network's trust.

c) Maintain Professional Standards - Communicate respectfully with matched operators and represent their newsletters accurately in your swaps.

d) Report Metrics - Provide post-swap performance data when requested to help improve the platform for all operators.

e) One Account Per Newsletter

• Operate only one Operator Card per newsletter publication. Violation of these obligations may result in removal from the platform at SponsorSwap’s sole discretion.

f) Send Standard - To ensure performance and fairness, each swap must include agreed placements delivered within thirty (30) days. SponsorSwap™ may adjust placements for reach parity (e.g. one send for larger lists balanced against multiple sends on the other side). Failure to meet the Send Standard may reduce Trust Score and can result in removal from the platform at SponsorSwap’s sole discretion.

g) Swap Receipt - Within 7 days of each placement, you must submit a Swap Receipt including partner name, both issue URLs, send dates, promised vs. delivered placement(s), pre/post subscriber counts, and proof screenshots. Failure to submit may lower Trust Score or result in removal.

h) Proof Authenticity - Screenshots and proof uploads must be unaltered originals. We reserve the right to request additional verification, reject suspicious submissions, or use verified proof data in future platform features.

Termination Rights
a) SponsorSwap™ may immediately terminate or suspend your access for:

• Providing false or misleading metrics.

• Failing to complete matched swaps without valid reason.

• Violating these Terms or platform standards.

• Any conduct harmful to the SponsorSwap™ community.

b) We reserve the right to:

• Remove any listing or profile without prior notice.

• Refuse service to anyone at our discretion.

• Modify or discontinue any feature without liability.

c) You may terminate by unsubscribing from our newsletter and requesting profile removal.
d) Upon termination, your Operator Card will be removed from the platform and you will not appear in future Drops. Past newsletter editions and any swaps already in progress remain unaffected. Anonymized swap performance data is retained as part of platform analytics.

Results / No Guarantees
SponsorSwap™ does not guarantee any particular number of subscribers, conversions, revenue, or growth outcomes. Any metrics, examples, case studies, or testimonials we publish are illustrative only and do not predict or assure future results. Your performance depends on factors outside our control, including your content, consistency, and audience fit.

Liability Limitations
a) "AS IS" SERVICE - SponsorSwap™ is provided "as is" without warranties of any kind, express or implied.
b) NO LIABILITY FOR USER ACTIONS - We are not responsible for:

• Disputes between matched operators.

• Accuracy of user-provided metrics.

• Results from newsletter swaps.

• Lost opportunities or revenue.

c) LIMITED LIABILITY - Our total liability for any claim related to these Terms shall not exceed the amount you've paid us (if any) in the past 12 months.
d) INDEMNIFICATION - You agree to defend and hold harmless SponsorSwap™ and FourLab LLC from any claims arising from your use of the platform or violation of these Terms.

Data & Privacy
Your data is governed by the SponsorSwap™ Privacy Policy. Your newsletter metrics and Operator Card information are visible within the SponsorSwap™ system, in Drops, and to potential swap partners as part of coordinating and executing swaps. Drops display limited listing details relevant to swap discovery (for example, niche, audience size range, engagement metrics, and swap preferences).

Platform Standards & Trust Score
a) Quality Standards - All operators must maintain SponsorSwap™ quality standards. Non-compliance results in removal.
b) Trust Score System - Your participation is subject to Trust Score metrics measuring reliability, completion rates, and metric accuracy. Trust Scores determine platform privileges and swap priority.
c) Continuous Optimization - Standards and scoring evolve based on platform data. Updates are announced via Drops.
d) Send Standard Compliance - Adherence to the agreed send requirements is factored into Trust Score. SponsorSwap™ may approve parity adjustments (e.g., one send for larger lists balanced against multiple sends on the other side). Approved parity swaps are treated as complete.
e) Receipt Compliance - On-time Swap Receipts are factored into Trust Score and platform eligibility.
f) Data Consistency - When operators submit conflicting metrics across multiple submissions or platforms, the most recent verified submission governs.

Dispute Resolution
a) Between Operators - Disputes between matched operators are resolved directly between those parties. SponsorSwap™ does not mediate swap disagreements.
b) With SponsorSwap™ - Except for (i) individual claims in small-claims court and (ii) claims seeking injunctive relief for unauthorized use or infringement of intellectual property, any dispute, claim, or controversy arising out of or relating to these Terms or your use of SponsorSwap™ will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect.

Seat and Language. The seat of arbitration is San Francisco, California, USA. The language of the arbitration is English.
Individual Proceedings Only. YOU AND SPONSORSWAP™ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Jury Trial Waiver. YOU AND SPONSORSWAP™ WAIVE ANY RIGHT TO A JURY TRIAL.
Fees and Costs. Each party will bear its own attorneys’ fees and costs and will share arbitration fees as required by the AAA Rules, except where a fee-shifting statute applies.

Opt-Out. You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by submitting a request through sponsorswap.com/contact (include “Arbitration Opt Out” in your message) and the email address associated with your account.

Injunctive Relief. Notwithstanding the foregoing, either party may seek temporary or injunctive relief in a court of competent jurisdiction to protect its intellectual property rights or prevent unauthorized access, misuse, or abuse of the Services.

Survival. This Section survives termination of the Services and these Terms.
c) Platform Decisions Final

• All decisions regarding Trust Scores, operator removal, and swap matching are final and not subject to appeal.

Changes to Terms
We may update these Terms from time to time. When posted, updates take effect immediately unless we state otherwise. Your continued use of SponsorSwap™ after updates become effective constitutes acceptance of the revised Terms and Privacy Policy. Where required by law, we’ll provide additional notice.

Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Venue for any disputes not subject to arbitration or small-claims court shall be the state or federal courts located in San Francisco, California.

SponsorSwap™ values your privacy. This Privacy Policy outlines how we collect, use, and protect your information when you use our Services.

What We Collect

• Email addresses for subscription and communication.

• Newsletter metrics (subscriber count, open rates, growth rates).

• Newsletter description, target audience, and swap preferences.

• Swap performance data and completion metrics.

• Site usage data via analytics, pixel tracking, and link tracking (including clicks, opens, and engagement metrics).

• Information submitted through platform forms.

• Pre- and post-swap proof uploads (e.g., screenshots of ESP dashboards or issue stats).

How We Use It

• To deliver our newsletter and platform updates.

• To provide swap matches and recommendations.

• To display operator profiles in Drops.

• To track and optimize swap success rates.

• To analyze performance and improve user experience.

• To enforce Trust Score standards.

• We record swap commitments and completion status (including adherence to the Send Standard) to calculate Trust Score, prevent abuse, and operate the platform.

• To verify reported metrics and enforce platform standards (including Send Standard and Receipt Compliance).

Public Information
Your newsletter metrics and Operator Card information are visible within the SponsorSwap™ system, in Drops, and to potential swap partners as part of coordinating and executing swaps. Drops display limited listing details relevant to swap discovery (for example, niche, audience size range, engagement metrics, and swap preferences).

By default, SponsorSwap™ may reference anonymized and aggregated outcomes from activity on the Services (for example, “a newsletter in the AI niche grew 18% after 3 swaps”) without naming or directly identifying any operator or publication. If you explicitly consent (for example, by selecting “Yes” to being featured in an upcoming Drop or responding affirmatively to a written request), SponsorSwap™ may identify your publication and metrics in public marketing, case studies, or social posts describing platform results.

We do not publish raw proof screenshots or private contact information. These materials are used internally to validate performance and to produce only derived or aggregated insights displayed in Drops or platform analytics.

You may withdraw or modify your marketing consent at any time via our support form at sponsorswap.com/contact; this does not affect normal Drop visibility required for swap discovery.

Third-Party Tools
We use analytics platforms and ad pixels (e.g., Meta Pixel) to understand site performance. When you submit forms on our site, we may share one-way hashed (e.g., SHA-256) versions of your email address and other contact information with advertising partners like Meta to improve ad targeting and measure campaign effectiveness. This hash is not intended to be reversible. Newsletter delivery and engagement tracking is managed through our email service provider. These tools set cookies per their policies.

Security
We implement industry-standard security measures appropriate to the sensitivity of the information, including encryption where applicable. Third-party service providers maintain their own security standards; however, no method of transmission or storage is 100% secure.

Data Ownership & Sharing

• Individual profile data remains yours, displayed publicly per platform function.

• Aggregated swap performance data, analytics, and platform insights are proprietary to SponsorSwap™.

• We do not sell personal information.

• In case of acquisition or merger, user data and platform analytics transfer to the successor entity, and we will provide notice where legally required.

• Service providers access only what's needed for operations.

• Subscriber data may be transferred to secure internal systems solely for operational, fraud-prevention, and analytics purposes and will remain internal.

• Proof uploads are not shared publicly or with swap partners and are accessible only to SponsorSwap™ personnel and vetted service providers under contract.
